Terms of Service

Effective August 3, 2026

These Terms of Service ("Terms") govern access to and use of Vicki's Cubbies, a service operated by Parsa Community Education LLC ("Vicki's Cubbies," "we," "us," or "our"). By creating an account, starting a trial, purchasing a subscription, or using the service, the customer organization and the person acting on its behalf agree to these Terms.

1. Business use and authority

The service is intended for childcare centers and other authorized business users. You represent that you are at least 18 years old and have authority to accept these Terms for the organization using the service ("Customer").

2. The service

Vicki's Cubbies provides tools for planning and forecasting classroom openings, child move-ups, future enrollment capacity, and related operational information based on data and rules supplied by Customer. Features may change as the product develops.

3. Planning tool; not a compliance determination

Forecasts and recommendations are planning aids. They are not legal, licensing, staffing, safety, accounting, or regulatory determinations. Customer is responsible for verifying applicable child-care licensing requirements, staff-to-child ratios, classroom rules, age requirements, enrollment commitments, and all other operational requirements before making decisions.

Vicki's Cubbies does not guarantee that a projected seat will be available, that a child may legally move to a classroom on a projected date, or that use of the service will increase enrollment or revenue.

4. Accounts and access

Customer is responsible for the accuracy of account information, maintaining the confidentiality of credentials, limiting access to authorized personnel, and promptly notifying us of suspected unauthorized access. Customer is responsible for activity under its accounts except to the extent caused by our breach of these Terms.

5. Customer Data

Customer retains ownership of data it submits to the service ("Customer Data"). Customer grants us a limited right to host, copy, process, transmit, and otherwise use Customer Data solely as needed to provide, secure, support, and improve the service as permitted by our Privacy Policy and any applicable Data Processing Terms.

Customer represents that it has the rights, permissions, and lawful basis necessary to submit Customer Data to the service. Customer will use reasonable data-minimization practices and will not upload sensitive data that the service does not request or support.

6. Acceptable use

Customer will not use the service to violate law, infringe rights, attempt unauthorized access, probe or disrupt service security, upload malicious code, scrape or reverse engineer the service except where law expressly permits, resell the service without written authorization, or use the service to make unlawful discriminatory decisions.

7. Trial and subscription billing

Unless otherwise stated in an order or offer, the Founding Center plan is $39 per month per location after a 14-day free trial. Subscription fees are billed in advance and automatically renew each month until canceled.

Customer may cancel before the next renewal through any billing controls we make available or by contacting support@vickiscubbies.com. Cancellation stops future renewals but does not retroactively refund fees already charged, except where required by law. We may change pricing for future renewal periods with reasonable advance notice. Any expressly stated founding-price guarantee will apply for the period described in the applicable offer.

8. Payment processing

Payments may be processed by a third-party payment processor. Customer authorizes applicable recurring charges and agrees to the processor's terms. We may suspend paid features for overdue amounts after reasonable notice.

9. Intellectual property

Vicki's Cubbies, including its software, designs, workflows, forecasts, interfaces, branding, documentation, and related intellectual property, is owned by us or our licensors. Except for the limited right to use the service during an active subscription, no rights are transferred to Customer.

10. Feedback

If Customer provides suggestions or feedback, we may use it without restriction or obligation, provided we do not publicly identify Customer as the source without permission.

11. Third-party services

The service may rely on or link to third-party services such as hosting, database, authentication, payment, email, or analytics providers. We are not responsible for third-party services outside our control, but we remain responsible for our obligations under these Terms regarding our use of such providers.

12. Availability and changes

We aim to keep the service available and reliable, but we do not promise uninterrupted or error-free operation. We may perform maintenance, modify features, add safeguards, or discontinue features. If we discontinue the core paid service, we will provide reasonable notice when practicable.

13. Suspension and termination

We may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, or conduct that threatens the service or other customers. Customer may stop using the service and cancel its subscription at any time. Upon termination, access to the service may end and Customer should export any data it needs before termination where export functionality is available.

14. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT FORECASTS OR OUTPUTS WILL BE COMPLETE, ERROR-FREE, OR SUITABLE FOR A PARTICULAR LICENSING OR BUSINESS DECISION.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS CUSTOMER PAID TO US FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE LIMITED.

16. Indemnification

Customer will defend and indemnify Parsa Community Education LLC and its personnel against third-party claims arising from Customer's unlawful use of the service, Customer Data submitted without appropriate rights or authority, or Customer's material violation of these Terms, except to the extent caused by our own breach or misconduct.

17. Governing law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute that is not otherwise resolved will be brought in the state or federal courts located in Franklin County, Ohio, and each party consents to that jurisdiction and venue.

18. Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms and update the effective date. For material changes affecting active paid customers, we will provide reasonable notice before the changes take effect when practicable.
